Spencer is the Founding Partner of SD Venture Law and focuses his legal practice on commercial litigation and advising emerging companies, turnaround companies, portfolio companies and middle market privately held companies and their executives, directors and investors, from inception on through maturity of their ventures.

 

Spencer also counsels founders, c-suites, boards of directors, venture capital firms and individual investors in their strategic business affairs.

Other Experience

Spencer's litigation practice includes shareholder litigations, corporate governance disputes, trademark and copyright infringement claims, breach of contract actions, unfair competition and employment disputes, business tort actions and debtor and creditor suits.  He has handled matters in federal and state courts, at both the trial and appellate levels, in New York and other jurisdictions. His clients have included private equity and venture capital firms, financial technology firms, software developers, best-selling authors, a clothing designer, various manufacturers and high net-worth individual investors.

Spencer's transactional work for venture companies includes structuring and papering corporate governance documents, joint ventures, stock purchase and sale agreements, employment agreements, vendor agreements, client and user agreements and funding and venture pitches. He also serves ventures as general legal counsel and business advisory counsel for general operational and specific project strategy.

Spencer began his career at Dilworth Paxson LLP and then worked at Phillips Nizer LLP in New York. Prior to practicing law, he worked in private equity and as a strategy consultant, including on projects for Sixpoint Brewery, JetLev-Flyer and Major League Baseball players in their salary arbitrations and free agency negotiations.
